End-User Licence Agreement

This End-User Licence Agreement (the "Agreement") is a legal agreement between you (the "User") and tomventures GmbH ("we", "us", "tomventures") for the Stedwatch desktop software (the "Software"). By installing or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

Read-only by design. Stedwatch is read-only. It watches and reports; it never starts, stops, or modifies a terminal, and it never places, changes, or closes a trade. There is no command or configuration-write endpoint against the monitored system or your trading. On the desktop's own local API the only writes are two narrow, state-only requests: one registers a device for push notifications, the other saves the owner's own notification preferences and manual mute. Neither is a terminal, broker, or trading command. Separately, a paid or trial licence key is checked against our licensing server repeatedly for as long as the Software runs - every 15 minutes until the key is accepted, then every 12 hours. That check sends your licence key, a one-way machine hash (pseudonymous, not anonymous: it cannot be reversed back to your machine, but it is stored beside your account) and the version of Stedwatch running on that machine, and never your monitoring or trading data. Secrets are never settable over the wire.

1. Licence grant and the machine limit of your plan

Subject to this Agreement, tomventures grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on Windows machines you own or control, for the purpose of monitoring those machines and the MetaTrader 5 terminals running on them.

Free. At no charge you may monitor one server, read-only, with local analysis, indefinitely. No account or activation is required for the free tier, and the Software never stops monitoring.

Paid plans. You may purchase a paid licence. Paid plans are priced per plan, not per server, and each plan covers a stated number of machines - the number shown for that plan on the pricing page and at checkout. That number is written into your licence key when it is minted, and it is enforced when a machine activates. Individual extra servers cannot be added to a plan; a larger fleet means moving to a larger plan. Every paid plan is the same full product; they differ in how many machines they cover and what they cost, never in features. Each plan is offered two ways, as shown at checkout (at the largest fleet size, yearly only):

Yearly is an auto-renewing subscription that always keeps you on the current version. It grants the paid feature set while it is active and paid; when it ends, the licence reverts to Free.
One-time (lifetime) is a single purchase. It grants a perpetual right to use the Software together with a three-year window of software updates from purchase. After that three-year window you keep, and may keep running, the last version you are entitled to; it does not entitle you to every future version for free.
Founder is a one-time, invitation-only licence offered to participants in the Stedwatch beta. It is not on open sale, and it covers the number of machines stated for it.

Yearly and one-time are the same full product and differ only in the update window (yearly stays continuously current; one-time includes three years of updates, then keeps what you have). Features are never gated between the two, and they are never gated between plans.

Fair use, your own fleet only. A paid licence covers only the servers you own or control, monitored for your own benefit, up to the machine limit of the plan you bought. It does not permit reselling, sublicensing, or sharing the key, and it does not permit monitoring or hosting on behalf of third parties (for example as a managed service to other people's servers). A paid licence is personal and non-transferable: one customer, one key.

How the licence is checked. A paid licence (and the time-limited trial) covers the number of machines its plan states, and is activated online: each machine on which you install the Software contacts our activation endpoint to bind the licence to that machine, and keeps contacting it on a repeating schedule for as long as the Software runs - every 15 minutes until the key is accepted, then every 12 hours. That request carries your licence key, a one-way machine identifier (a salted hash; pseudonymous, not anonymous: it cannot be reversed back to your machine, but it is stored beside your account) and the version of Stedwatch running on that machine; it carries never your monitoring, trading, or hardware detail. Between those checks the Software verifies a signed token locally and keeps working offline; a machine that stops re-checking releases its seat automatically after thirty days. The free tier performs no activation and contacts no licence server at all. On every plan, your monitoring data stays on your VPS. You can re-download your key and manage your machines at any time from your account at my.stedwatch.com.

2. Paid licences, payment and the merchant of record

Paid Pro licences are sold through Lemon Squeezy, LLC (United States) as the merchant of record. Lemon Squeezy is the seller of record for the transaction: it sells the licence, takes the payment, handles applicable taxes (such as VAT), issues your invoice or receipt, and is the party that issues refunds. tomventures GmbH mints your licence key. Your card and payment data are held by Lemon Squeezy and its underlying payment processor, and never by us. When a purchase is refunded or charged back, the associated licence key is revoked and its online machine activations are released; the affected installs revert to the Free tier at their next licence check.

The commercial terms of a paid licence, namely pricing, billing, renewal, cancellation, and refunds or any right of withdrawal, are set out in the Terms of Service. Prices are those shown at checkout and on the pricing page. Please read the Terms before purchasing.

3. What the Software does

The Software is a strictly read-only monitor. It observes the host machine (such as CPU, RAM, disk, drive SMART health, Windows security signals and network latency) and the MetaTrader 5 terminals running on it (such as process state, an order the terminal or the broker refused and which of the two refused it, connection status, and information derived from each terminal's own log files), and it reports what it observes via a local dashboard and, if you switch one on, an optional alert channel. Telegram is the channel that works today. The Stedwatch mobile app channel is built but not yet in service; when the app ships, it will carry the same alerts, and nothing is sent through it before then.

The Software does not place, modify, or cancel orders, and cannot do so, there is no command path into your trading.
The Software does not start, stop, restart, or configure MetaTrader 5 or your Expert Advisors.
Where the Software cannot determine a value truthfully, it reports unknown rather than guessing.

4. No financial advice

The Software is a technical monitoring tool only. Nothing it displays or sends, including any metric, status, alert, or log interpretation, constitutes financial, investment, trading, tax, or legal advice, or a recommendation to take or refrain from any action. You are solely responsible for all trading and investment decisions and their consequences. Trading carries risk, including the risk of loss.

5. Your responsibilities

You are responsible for the machines on which you install the Software, for securing access to them, and for your own MetaTrader 5 terminals and trading.
You will not rely on the Software as the sole safeguard for live trading. Alerts may be delayed or missed for reasons outside our control (network, device, or third-party service outages).
You will use the Software only on systems and in a manner permitted by applicable law and by your broker's and service providers' terms.

6. Restrictions

You may not, except to the extent permitted by mandatory law: reverse engineer, decompile, or disassemble the Software; remove or alter proprietary notices; sublicense, rent, sell, or redistribute the Software; or use it to build a competing product.

7. Intellectual property

The Software is licensed, not sold. tomventures and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. "Stedwatch" and the Stedwatch logo are marks of tomventures GmbH. MetaTrader 5 is a trademark of MetaQuotes Ltd.; tomventures and Stedwatch are independent and not affiliated with MetaQuotes or any broker.

8. Privacy and data

The Software runs locally and keeps your monitoring data on your own machine. There is no telemetry of your trading, and the Software does not send your monitoring data to us. As described in section 1, a paid Pro licence (and the trial) is activated online: each machine sends your licence key, a one-way machine identifier (pseudonymous, not anonymous: it cannot be reversed back to your machine, but it is stored beside your account) and the version of Stedwatch running on it, repeatedly - every 15 minutes until the key is accepted, then every 12 hours - to bind and keep the licence bound to that machine. No monitoring or trading data, and no other hardware detail, is ever sent for licensing. The free tier performs no activation at all.

If you purchase a paid Pro licence, a customer account is created at my.stedwatch.com. That account holds your email address, your sign-in session data (including IP address and browser user-agent, for security), your licence key(s) (stored encrypted at rest), and a reference linking your account to your Lemon Squeezy order/customer. It does not hold any of your monitoring or trading data, and we hold no card or payment data (that stays with Lemon Squeezy and its underlying payment processor). 9. Changes to the Software

The Software may contain errors, may change over time, and features may be added or withdrawn. We welcome reports of inaccurate values, since improving the honesty of what the Software reports is a core goal.

10. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT EVERY ALERT WILL BE DELIVERED.

11. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, tomventures WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, TRADING LOSSES, LOST OR MISSED TRADING OPPORTUNITIES, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.

To the extent permitted by law, tomventures' total aggregate liability for direct damages arising out of or relating to the Software is capped at the total fees you paid for the Software in the twelve (12) months before the event giving rise to the claim. Because the Software is read-only and cannot place or affect trades, it is not a cause of, and is not responsible for, any trading outcome.

Nothing in this Agreement excludes or limits liability for intent (wilful misconduct), gross negligence, personal injury, or any other liability that cannot lawfully be excluded or limited under mandatory Swiss law, including articles 100 and 199 of the Swiss Code of Obligations. Consumers keep all rights that mandatory law in their country of residence gives them.

12. Termination

This licence terminates automatically if you breach it. You may terminate at any time by uninstalling the Software. On termination you must stop using the Software; uninstalling removes the background monitor and its local data and has no effect on your MetaTrader 5 terminals or trading.

13. Governing law and jurisdiction

This Agreement is governed by the substantive laws of Switzerland, where tomventures GmbH is established, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

For business users, the exclusive place of jurisdiction for any dispute arising out of or relating to this Agreement is the competent courts at the seat of tomventures GmbH in Aargau, Switzerland. This does not affect consumers: if you are a consumer, you keep the mandatory jurisdiction and consumer-protection rights that the law of your country of residence gives you, and you may bring proceedings at your home forum.
