These Terms of Service (the "Terms") govern your use of the Stedwatch website and the Stedwatch software and services provided by tomventures GmbH. By using the website or the software, you agree to these Terms. Use of the desktop software is also governed by the End-User Licence Agreement; if there is a conflict about the software, the EULA prevails.
1. The service
Stedwatch is a read-only desktop monitor for a Windows machine and the MetaTrader 5 terminals running on it, with optional push alerts. It is provided as released software and may change, be updated, or have features added or withdrawn over time.
A customer account for managing your purchase and licence key(s) is available at my.stedwatch.com.
2. Licensing model
Stedwatch is licensed to you as a person, not per server. Pro (and the trial) covers your whole personal fleet under a fair-use limit of five machines (see below), so one licence runs on all of your own monitored servers up to that limit. Each machine activates online once to bind the licence to it - sending only your key and a one-way anonymous machine identifier, never your monitoring data - then verifies locally between periodic re-checks; a machine that stops re-checking releases its seat automatically after thirty days. The free tier needs no activation. The tiers are:
- Free. No charge, forever. Monitor one server, read-only, with local analysis, offline.
- Pro. A paid licence that unlocks the full product across your whole personal fleet. It is offered two ways, as shown at checkout:
- Pro Yearly ($59/year). An auto-renewing subscription that always keeps you on the current version while it is active and paid. When it ends, the licence reverts to Free.
- Pro Lifetime ($169 one-time; launch price $99 for the first 75 keys, then $169). A one-time purchase for lifetime use, including software updates for three years from purchase. After the three-year update window you keep and keep running the last version you are entitled to; you do not receive every future version for free.
Both ways give the same full Pro product; they differ only in the update window (Yearly = always current while active; Lifetime = three years of updates, then keep what you have). Prices, the launch offer, and the tier you receive are the ones shown at checkout for the plan you buy.
Fair use (your own fleet). A Pro licence covers the servers you yourself own and operate, up to the five-machine fair-use limit. It is not for reselling or sublicensing the key, and not for monitoring or hosting servers on behalf of third parties. Prices may change for new customers over time; if they do, existing customers keep the terms they bought under.
3. Pricing and payment
The binding price is always the one shown at checkout and on the pricing page for the plan you select; any figures mentioned above are informational, and the checkout price governs. Depending on your location, tax may be added at checkout.
Lemon Squeezy is the merchant of record. Payments are sold through Lemon Squeezy, which acts as seller of record, charges you, handles VAT and other applicable taxes, and issues invoices and receipts. tomventures GmbH mints your licence key. Card and payment data are held by Lemon Squeezy and its payment processor, never by us; we never store your card data.
4. Subscriptions and renewal
If you choose Pro Yearly, it auto-renews at the end of each paid period until you cancel, and you will be charged the then-current price for the next period. You can cancel anytime in your account at my.stedwatch.com. On cancellation, Pro continues until the end of the period you have already paid for; after that the licence reverts to the Free tier. Pro Lifetime is a one-time purchase; it is not a subscription and does not renew.
5. Refunds and cancellation
Refunds are issued by Lemon Squeezy as merchant of record. To request one, contact hello@stedwatch.com and we will help direct it. When a purchase is refunded or charged back, the associated licence key is revoked and its online machine activations are released; the affected installs revert to the Free tier at their next licence check.
Cancellation. Subscriptions can be cancelled anytime in your account at my.stedwatch.com. Cancellation takes effect at the end of the period you have already paid for, so your paid-through access is not cut off early.
EU consumers. For paid digital content, EU consumers have a 14-day right of withdrawal. Because the licence key is delivered immediately, when you expressly consent to immediate provision and acknowledge that you thereby lose the withdrawal right (captured at checkout), that right is extinguished once delivery begins.
Swiss consumers. Switzerland has no general statutory distance-withdrawal right, so any refund window offered to customers in Switzerland is a voluntary contractual policy on our part, not a statutory entitlement.
Beyond the above, we may grant goodwill refunds at our discretion.
6. Your account
The customer account at my.stedwatch.com is passwordless: you sign in with a single-use magic link sent to your email. Keep access to your email secure, since anyone with it can sign in. You can re-download your licence key(s) at any time, and you can delete your account and its data yourself from Account → Delete account. See the Privacy Policy for what we store and how.
7. Licence restrictions
Your licence is for your own personal fleet under the fair-use limit in section 2. You may not resell, share, or sublicense licence keys, use a key to monitor or host servers on behalf of third parties, or reverse engineer the Software except to the extent mandatory law permits. Use the website and the Software lawfully and only on systems you are authorised to monitor, and do not misuse, probe, overload, or attempt to disrupt the website or any related service.
8. Not financial advice
Stedwatch is a technical monitoring tool. Nothing it shows or sends, and nothing on this website, is financial, investment, trading, tax, or legal advice or a recommendation. All trading and investment decisions are yours alone, and trading carries risk of loss.
9. Eligibility
You must be at least 18 and able to form a binding contract to use the website or purchase a licence.
10. No reliance as a sole safeguard
Alerts depend on third-party networks and services (e.g. your network, your device, and Telegram or native app push) and may be delayed, duplicated, or missed for reasons outside our control. You agree not to rely on Stedwatch as the only safeguard for live trading and to maintain your own checks.
11. Feedback
If you send us feedback or bug reports, you grant tomventures the right to use them to improve the product without obligation to you. Reports of values that don't match reality are especially welcome, accuracy is a core goal of the product.
12. Intellectual property
The website, the Software, and the Stedwatch name and logo are owned by tomventures GmbH and its licensors. You receive no rights except as expressly granted here or in the EULA. MetaTrader 5 is a trademark of MetaQuotes Ltd.; tomventures and Stedwatch are independent and not affiliated with MetaQuotes or any broker.
13. Third-party services
Stedwatch can send alerts through Telegram or native app push. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
14. Disclaimer of warranty
THE WEBSITE AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT EVERY ALERT WILL BE DELIVERED. Read-only operation and never placing trades are design facts of how the Software is built, not a performance guarantee.
15. Limitation of liability
To the extent permitted by law, our liability for direct damages is capped at the fees you paid in the 12 months before the event giving rise to the claim. To the maximum extent permitted by law, tomventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, trading losses, lost data, or lost trading opportunities, arising from use of the website or the Software. Because Stedwatch is read-only and cannot place or affect trades, it is not responsible for any trading outcome. Nothing here excludes or limits liability for intent, gross negligence, personal injury, or any other liability that cannot lawfully be limited, including mandatory consumer rights.
16. Changes and termination
We may update these Terms and may change or discontinue the website or the Software. For material changes to these Terms or to a paid service, we will give you advance notice (for example by email or in your account) before the change takes effect; if you do not accept a material change, you may terminate the affected service before it takes effect, and any prepaid, unused portion is handled per the refund policy in section 5. Continued use after a change takes effect means you accept the revised Terms. You may stop using the website and uninstall the Software at any time.
17. Governing law and jurisdiction
These Terms are governed by the substantive laws of Switzerland, without regard to conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. The exclusive place of jurisdiction for business users is the competent courts at our seat in Aargau, Switzerland. Consumers in the EU and Switzerland keep the mandatory protections and home forum of their country of residence, and nothing here removes those rights.
